Pin to Give and Get
(the “Sweepstakes”)

SPONSOR
VSP Vision Care (“Sponsor”), 3333 Quality Drive, Rancho Cordova,CA 95670

ELIGIBILITY
The sweepstakes is open exclusively to consumers located within the 50 United States orDistrict of Columbiathat are 18 years of age at the time of sweepstakes entry. Void where prohibited or restricted by law.  Limit of one entry per eligible entrant applies. Employees of any VSP Global company and members of their household shall not be eligible to enter.

Sponsor reserves the right to disqualify any participant if Sponsor determines that the Eligible Consumer’s participation in the promotion or receipt of a reward or prize would violate federal, state, or local law.

SWEEPSTAKES DETAILS
Eligible Consumers that sign up for the Sweepstakes during the Promotion Period will be entered to win one (1) pair of Diane Von Furstenberg (“DVF”) sunglasses with an approximate retail value of $150 and one (1) grand prize including a dvf.com gift card with a retail value of $500. No purchase necessary. Prizes are nontransferable and may not be substituted or redeemed/exchanged for cash, except Sponsor reserves the right to substitute a prize for one of equal or greater value if the designated prize becomes unavailable for any reason.

How to Enter
Eligible Consumers must follow the following steps:

Step 1: Repin an image from VSP Vision Care’s Pinterest Board: #PinToGiveAndGet (https://pinterest.com/VSPVisionCare/pintogiveandget)
Step 2: Email the following information to pintogiveandget@vsp.com:

  • Link to your Pinterest board
  • Name
  • Age
  • Address
  • Phone Number

Drawings
One (1) grand prize and fifty (50) sunglass winners will be selected in a random drawing from among all eligible entries received. The random drawing will take place Friday, February 1, 2013 at the conclusion of the promotion period.  Odds of winning depend on the number of eligible entries received.

PROMOTION PERIOD
The VSP Pin to Give and Get sweepstakes begins on Monday, December 10, 2012 and ends Thursday, January 31 at 11:59 p.m. PT. (the “Promotion Period”).

WINNER NOTIFICATION
The potential winner will be notified by e-mail within five days of the end of the Promotion Period. If a potential winner can’t be contacted within 30 days of the end of the Promotion Period, the potential winner will be disqualified and forfeits the promotional item, reward, or prize.

Potential winners must continue to comply with all terms and conditions of these rules, and understand that the results and decisions of Sponsor are final in all respects. Winning is contingent upon fulfilling all requirements. In the event that the potential winner is disqualified for any reason, Sponsor will award the prize to an alternate winner selected in a random drawing from the remaining eligible entries. Alternate winners are subject to all requirements set forth in these Terms and Conditions. Sponsor will make only one attempt to award a prize to an alternate winner, and if prize remains unclaimed or an eligible alternate isn’t secured, prize may not be awarded.

All federal, state, municipal, and local taxes are the sole responsibility of winner. For the names of the winners, please send a self-addressed stamped envelope by November 21, 2012to VSP Global Corporate Communications, M/S 151, ATTN: VSP Pin to Give and Get, 3333 Quality Drive, Rancho Cordova, CA 95670

AGREEMENTS

Cancellation
Sponsor reserves the right, at its sole discretion, to terminate the Sweepstakes, to alter Sweepstakes rules, and to restrict, change, correct, or cancel the entry process, and any qualifying purchases, at any time without prior notification for any reason, including equipment failure, acts of nature or war, strikes, civil disturbances, economic circumstances, government policy or tax changes, error in Sweepstakes terms or operation, or fraud. In such event, Sponsor reserves the right, but not the obligation, to select the winners in a manner which is fair, equitable, and in accordance with the spirit of these Terms and Conditions, as determined by Sponsor in its sole discretion.

 Changes
Sponsor reserves the right to substitute promotional items or prizes of equal value at any time without advance written notice. Participant may not be able to obtain certain promotional items or prizes if any of these conditions occur.

Communication
By participating in the Sweepstakes, each Eligible Practice expressly agrees to periodically receive promotional collateral for the Sweepstakes, including e-mails, faxes, or direct mail.

Responsibility
Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries/orders. Sponsor is not responsible for any problems or technical malfunction of any telephone network or lines, or for late, lost, illegible, incomplete, stolen, postage-due, damaged, or misdirected entries/orders.

LEGAL COMPLIANCE

Indemnification
By entering the Sweepstakes and/or accepting a prize, participants and winners agree to indemnify, release, and hold harmless the Sponsor and its advertising and promotions agencies, and their respective parent companies, subsidiaries, affiliates, and agencies, and each of their officers, directors, shareholders, employees, agents, and representatives (collectively “Released Parties”) from any and all liability, costs, expenses, damages, rights, claims, actions, and losses (collectively “Losses”) of any kind incurred in connection with the Sweepstakes, including without limitation for or from (a) the acceptance, possession, use or misuse of any prize; (b) travel to/from any prize related activity; and/or (c) claims relating to rights of publicity, rights of privacy, or defamation. The Released Parties aren’t responsible for (a) lost, late, incomplete, inaccurate, undelivered, garbled, or lost Eligible Practice registrations or surveys; (b) interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections; (c) any other technical failures or difficulties; (d) other errors of any kind whether human, mechanical, electronic, network, typographical, print, or otherwise relating to or in connection with the promotion or awarding of prizes; (e) any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes; and/or (f) injury or damage to any participant’s or to any other person’s computer or network related to or resulting from participating in the Sweepstakes.

Healthcare Programs
Federal antikickback law provides for criminal and or/civil liability for inducements related to any product for which payment may be made by a federal healthcare program or federally funded state healthcare program, including Medicaid and Medicare (collectively, “Federally Funded Programs”). Some states have similar antikickback laws (“State Laws”).

It is the policy of Sponsor to comply with all applicable laws; however, Sponsor has no way of knowing whether any specific transaction will be paid by a Federally Funded Program, or otherwise covered by State Laws. Accordingly, it is the Eligible Consumer’s sole responsibility to determine if a transaction is eligible for participation in this Sweepstakes, and the Eligible Consumer shall notify Sponsor in writing of any transactions that should be excluded.

Any transaction for which payment will be made, in whole or in part, by any Federally Funded Program, or which is otherwise covered by State Laws, isn’t eligible for participation in this Sweepstakes.

DISPUTE RESOLUTION/CHOICE OF LAW

Except where prohibited, participants agree that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes shall be resolved individually, without resort to any form of class action, and exclusively by an action in state or federal court located in the State of California; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Sweepstakes, but in no event attorneys’ fees; and (c) under no circumstances will a participant be permitted to obtain awards for, and participants hereby waive all rights to claim punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms and Conditions, or the rights and obligations of a participant in connection with this Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State ofCalifornia, without regard to the conflicts of law doctrine of any jurisdiction.

TAMPERING OR INTERFERENCE
ANY ATTEMPT BY ANY INDIVIDUAL OR GROUP TO DELIBERATELY DAMAGE THE SWEEPSTAKES WEBSITE OR ANY OTHER WEBSITE OF SPONSOR, OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

SPONSOR RESERVES THE RIGHT IN ITS SOLE DISCRETION, TO DISQUALIFY ANY INDIVIDUAL WHO TAMPERS OR OTHERWISE INTERFERES WITH THE SWEEPSTAKES.
